Conditions of Sale

Price
Prices quoted in Price Lists are subject to change without notice. The price charged will be that ruling on the day of order unless otherwise agreed in writing, and will be subject to value added tax and any other government duty or tax applicable.

Credit Terms
Our standard credit terms are 30 days from end of month of invoice.

Force Majeure
The seller shall be relieved of the performance of its obligations for the duration and to the extent that it is prevented in the performance of its obligations by reasons of force majeure. For purposes of this clause force majeure is defined as circumstances or events which have not been foreseen at the time of the seller and which prevent the performance of contractual obligations hereunder and which are not capable of being remedied. Acts of God, acts of war, acts of Government, blockades, revolutions and industrial disputes may constitute force majeure if the elements thereof, as defined, in this clause exist.

Retention of title and passing of property
The ownership of all goods supplied and under each contract between the seller and the buyer shall remain with the seller until all goods have been paid for in full. Such retention of title shall not be deemed to constitute an Agency or imply that the buyer in any way acts as an Agent in respect of the products supplied by the seller. In the absence of written advice from the buyer to the carrier and seller described in clause 6 below, the goods shall be deemed to have been delivered and accepted by the buyer complete and in satisfactory condition. The buyer hereby authorises the seller to enter any premises of the buyer for the purpose of re-possessing the products.

Late Payments and Defaults
All payments should be made in full within the agreed credit terms. An account shall be considered in default if an invoice remains unpaid for 30 days from the due date of any such invoice, or the customer has stated expressly that they do not intend to pay invoice, unless prior arrangements have been made. Account in default will incur a monthly late interest fee equivalent to 1% of the total overdue amount plus admin fee. Agrihealth shall at its sole discretion suspend any and all orders and services provided to the customer, and employ debt collection measures until the total outstanding balance has been paid. This includes any and all unpaid invoices due plus admin cost and late fee calculated for each day payment is overdue. The customer will be responsible for all cost outlays incurred by Agrihealth with respect to recovery of the debt.

Returns Policy

Procedures relating to the return of goods, short deliveries and goods damaged in transit.

a) Notification of returns

In all cases you will need to notify Agrihealth of the items to be returned by contacting our customer care team on 047 57128 or emailing returns@agrihealth.ie . The following information will be required: Agrihealth account number, address, description and quantity of items, invoice number, reason for return and, for faulty items, proof of purchase.

For items damaged in transit we must receive notification within 48 hours. For short deliveries we must receive notification within or 24 hours in order that we can trace missing items. During your contact with our customer care team, you will be issued with a returns reference number (RMA number). The RMA number should be quoted when enquiring about the status of your return. We will only accept goods back where prior approval has been given.

Items returned without an RMA number will not be processed and may be returned.

b) Collection of returns

Where the product has been sent in error by Agrihealth or is faulty, Agrihealth will arrange collection. In all other cases you will be responsible for returning the item. Please ensure you keep proof of returned goods. Please ensure the RMA number is clearly written on the outside of any returning item as failure to do so will slow down the process.

c) Crediting your returned product

On receipt of items Agrihealth will process any claim and credit your account subject to the following conditions.

Scenario Action
Goods sent in error by Agrihealth Will be credited in full.
Faulty goods Will be assessed on return and if found to have a manufacturing fault will be credited or replaced. Goods that are not deemed to have a manufacturing fault will be returned to you and you may be charged for any collection or delivery costs.

(see Guidelines point 1 & 2 below).

Goods damaged during delivery Subject to investigation, goods damaged during delivery will be credited in full.
Goods ordered in error Will be accepted for return at the discretion of Agrihealth. Such goods must be returned in perfect saleable condition, in their original packaging and within five working days of receipt.
Goods no longer required Will be accepted for return at the discretion of Agrihealth. Such goods must be part of Agrihealth’s current range and returned in perfect salable condition, in their original packaging and not marked in any way. Agrihealth reserve the right to charge a restocking fee of 20% for such goods.
Safety wear Such goods (e.g., riding hats or body protectors) cannot be returned unless they are faulty.
Vaccines Will be credited only if prior authorization has been given to Agrihealth from the manufacturer (See Guidelines point 3 below)
Temperature controlled goods Will be credited following the assessment of such good on their return to Agrihealth. The return of temperature-controlled goods will only be accepted where an over delivery of such items has taken place (See Guidelines point 3 below).

Guidelines

1. If you believe an item to be faulty due to a manufacturing fault, please contact us as soon as possible. If the item has been used, proof of purchase will be required in all circumstances. If it is possible to email/message pictures of the item in question it may help us to resolve the issue in a quicker timeframe.

2. If the goods being returned are clothing, footwear, rugs, agricultural or horse equipment they must be returned clean and dry in accordance with health and safety requirements. Soiled good will be returned at your expense.
3. Refrigerated Goods must have been stored correctly. Copies of temperature logs for the period that the goods are on your premises and a signed declaration to this effect will be required.

Warranty
Agrihealth offers a limited warranty on animal health equipment, which covers any defect in material or workmanship under normal intended use during the warranty period of 12 months. During the warranty period, Agrihealth will repair, at no charge, products or parts of a product that prove defective because of faulty material or workmanship under normal use and maintenance. It does not replace the manufacturer’s warranty. In all instances the warranty period must be confirmed by a proof of purchase document.

Freight Changes & Minimum order value
Delivery is free for order exceeding £150 / €150 net of VAT.  Orders to the Channel Islands, Outer & Inner Hebrides, Shetland Islands and Orkney Islands will incur a freight charge on orders below  a value of £500.00 and £300 for Isle of Man.  A normal freight charges will apply to orders under the value of £150.00 / €130.00 net of VAT. Customers will be advised at time of order when these charges apply.

Assignability
This contract is personal to the parties hereto and shall not be assigned to any third party of either the buyer or the seller without the other party’s written consent.

Law
This contract shall be deemed to be made in both Republic of Ireland and Northern Ireland in all respects by Law and is governed by the laws of each country respectively and you agree to the non exclusive jurisdiction of the respective courts.

General Data Protection Regulation
Agrihealth shall only process your personal data where it has a lawful basis to do so.

Agrihealth shall:

process the Personal Data on behalf of you, only for the purpose of performing this Contract and only in accordance with the terms of this Contract and/or your written instructions.

at all times take appropriate technical and organisational measures against unauthorised or unlawful processing of Personal Data and against accidental loss or destruction of, or damage to, Personal Data;

ensure that access to the Personal Data is limited to those employees or authorised Sub-Contractors who need access to the Personal Data to meet Agrihealth’s obligations under this Contract.

where authorised sub-contractors are required, Agrihealth will ensure that these Sub-contractors meet the same technical and organizational appropriate measures and ensure a contractual agreement in the form of a Supplier Data Obligation Agreement is in place before any third party processing takes place to safeguard your personal information.

promptly and fully notify you in writing of any notices or enquiries that Agrihealth receives in connection with the processing of any Personal Data and provide such information and assistance as you may reasonably require;

promptly and fully notify you in writing if any Personal Data has been disclosed in breach of this clause and cooperate with you in order to rectify the situation; and
permit you or your external advisers (subject to reasonable and appropriate confidentiality undertakings) to inspect and audit Agrihealth’s data processing activities and those of its agents, subsidiaries and sub-contractors and comply with all reasonable requests or directions by you to enable you to verify and procure that Agrihealth is in full compliance with its obligations under this Contract.

from time to time, depending on the products that you may purchase, certain products may qualify for incentives or rebates from a product manufacturer. For the specific manufacturer to qualify and process the rebate or incentive, we will provide them with the required information regarding you (i.e. name, address, and products purchased). Your details that we provide to the manufacturer will only be used in conjunction with the specified incentive or rebate. The manufacturer can use this data in anonymised form to generate statistical analysis of their specific product range.
